Lift & Launch Seed Ventures was founded in 2023 with a single, powerful vision: to create a level playing field for entrepreneurs and investors alike. We saw too many brilliant ideas stall due to lack of funding, and too many investors locked out of high-growth opportunities.

By leveraging Regulation Crowdfunding (Reg CF), we built a platform that allows startups to raise up to $5M from their community, turning customers into stakeholders and believers into backers.

Today, we aren’t just a funding portal; we are a growth ecosystem, providing the tools, mentorship, and marketing muscle needed to take an idea from “what if” to “what’s next.”

Investment Offerings

Lift and Launch Seed Ventures helps businesses connect with investors through community-focused investment opportunities. Depending on the company, investor audience, and capital-raising strategy, offerings may be conducted under one of the following exemptions.

Regulation Crowdfunding (Reg CF)

Reg CF allows eligible companies to raise up to $5 million in a 12-month period from both accredited and non-accredited investors.

Reg CF offerings made available through Lift and Launch are conducted through a registered securities intermediary, including Andes Capital Group, LLC, where identified in the applicable offering materials.

Regulation D — Rule 506(c)

Regulation D Rule 506(c) allows companies to publicly market an investment opportunity to accredited investors.

There is no federal limit on the amount an issuer may raise under Rule 506(c), but all purchasers must be accredited investors and their accredited status must be appropriately verified.

Regulation A

Regulation A allows eligible companies to conduct a broader public securities offering following qualification by the SEC.

Regulation A includes:

  • Tier 1: Up to $20 million in a 12-month period
  • Tier 2: Up to $75 million in a 12-month period

Regulation A offerings may be available to both accredited and non-accredited investors, subject to applicable requirements and investment limitations.

Every Offering Is Different

Not every investment opportunity on Lift and Launch will use the same exemption or be available to every investor.

The applicable offering type, eligibility requirements, investment terms, risks, broker-dealer involvement, and investor qualifications will be identified in the official offering materials for each opportunity.
